LudmerLaw has extensive experience in:

  • corporate-commercial law and agreements;
  • employment law, including downsizings and restructurings, senior employee contracts, and incentive plans and equity compensation plans for multi-national workforces;
  • IT and technology transactions, including licensing, outsourcing and software development deals;
  • venture capital and private equity transactions, including advising US and Canadian venture fund and strategic investors, as well as companies receiving funding;
  • M&A valuation issues, including advising purchasers, sellers and special committees of public companies in connection with fairness opinion, governance and valuation matters. LudmerLaw has also given in-firm seminars on fairness opinion practices and regulation to several of Canada's largest investment dealers; and
  • governance and disclosure/internal control matters. LudmerLaw was one of the earliest legal practices to stake out a role for lawyers in this process. They have instituted "entity level controls" and advised on whistle-blowing policies, internal investigations and audit committee practices at many public companies.
